The rules we operate by.

Welcome to Afrobits. These Terms of Service (the "Terms") govern your access to and use of Afrobits, a product operated by Soro Technologies, Inc. ("Soro," "we," "us," or "our"). By accessing or using Afrobits, you agree to be bound by these Terms.

Please read them carefully. If you do not agree with any part of these Terms, you must not use the service.

1. Acceptance of terms

By sending a message to our WhatsApp or Telegram number, visiting afrobits.ai, using our web interface, or accessing any part of the service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated herein by reference.

If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The service

Afrobits is an AI-powered music creation and distribution platform. Through messaging applications (including but not limited to WhatsApp, Telegram, and future supported channels) and web interfaces, you can:

• Submit text prompts describing a song you want to create;
• Receive AI-generated original songs based on your prompts, including lyrics, composition, vocals, and mastered audio;
• Purchase credit packs to generate additional songs;
• Optionally request distribution of your generated songs to third-party streaming platforms (including Spotify, Apple Music, YouTube Music, and over 150 other services) through the Afrobits Label.

The service is provided on an "as is" and "as available" basis. Features, pricing, and availability may change at our discretion.

3. Eligibility

To use Afrobits, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher;
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the service under applicable laws;
• Comply with these Terms and all applicable local, national, and international laws and regulations.

If you are under 18, you may only use Afrobits under the direct supervision of a parent or legal guardian who has agreed to these Terms on your behalf.

4. Your account

When you interact with Afrobits through a messaging platform, we associate your account with your phone number or messaging platform identifier. You are responsible for:

• Maintaining the security of the device and messaging account you use to access Afrobits;
• All activity that occurs under your account;
• Notifying us immediately at hello@afrobits.ai of any unauthorized access or use.

We are not liable for any loss or damage arising from unauthorized use of your account where such unauthorized use resulted from your failure to secure your device or messaging credentials.

5. Credits & payment

Afrobits uses a credit-based model. Each credit entitles you to generate one song. Credits are sold in packs, with pricing localized by region. All prices are displayed inclusive or exclusive of applicable taxes as required by local law.

Payment processors

We use regulated third-party payment processors to handle transactions. By making a purchase, you also agree to the terms of the relevant payment processor. We do not store your full payment card details on our servers.

Credit validity

Unless otherwise stated at the point of purchase, credits do not expire but are non-transferable between accounts. Credits have no cash value, cannot be redeemed for cash, and cannot be traded or sold.

Pricing changes

We may change the price of credit packs at any time. Changes will not affect credits you have already purchased. New prices apply from the date they are published on our website or announced to you directly.

Refunds

Refunds are governed by our Refund Policy.

6. Content & ownership

Your prompts

You retain all rights in the text prompts you submit to Afrobits ("User Prompts"). By submitting a User Prompt, you grant Soro a worldwide, royalty-free, non-exclusive license to use, store, process, and transmit that prompt for the purpose of providing the service, training and improving our systems (in aggregated or anonymized form only where applicable), and operating the Afrobits Label where you have requested distribution.

Your generated songs

Subject to payment in full and continued compliance with these Terms, you own the audio files, lyrics, and underlying composition of songs generated for you through Afrobits ("Your Songs"), and you may use them for personal or commercial purposes.

Exceptions to your ownership:

• You do not own any third-party content that may be incorporated by reference (for example, the name of a real person, brand, or copyrighted work you included in your prompt);
• You grant us a worldwide, royalty-free, non-exclusive license to host, reproduce, distribute, publicly perform, and display Your Songs as necessary to operate the service, including on our Radio feature and public-facing pages, unless you explicitly request removal;
• Where you request distribution through the Afrobits Label, additional terms in Section 8 apply.

7. AI-generated music

You further acknowledge that:

• AI-generated music may inadvertently resemble existing copyrighted works, despite our efforts and those of our vendors to prevent this;
• You are responsible for reviewing songs generated for you before publishing, distributing, or exploiting them commercially;
• Soro does not warrant that Your Songs are free of similarity to existing works, and we disclaim all liability for claims arising from such similarity to the maximum extent permitted by law;
• In some jurisdictions, works generated substantially by AI may not be eligible for copyright protection in your name.

8. Distribution to streaming platforms

If you request distribution of Your Song to streaming platforms (Spotify, Apple Music, YouTube Music, and others), the following additional terms apply:

• Distribution is performed through regulated music distribution partners;
• Your Song will be released under your artist profile, which is isolated from other users' profiles under the broader Afrobits Label for the purpose of rights management and takedown handling;
• You grant Soro the non-exclusive right to submit Your Song for distribution, manage the associated ISRC/UPC codes, and handle royalty collection and remittance on your behalf;
• You represent and warrant that Your Song does not infringe the rights of any third party;
• Streaming platforms reserve the right to reject, remove, or demonetize content at their discretion. Soro is not liable for the decisions of third-party platforms;
• Royalties, if any, will be paid to you according to the terms agreed at the point of distribution, net of applicable fees, reserves, and taxes;
• You may request removal of Your Song from distribution at any time by emailing hello@afrobits.ai. Takedown processing typically takes 2–6 weeks depending on the platform.

9. Copyright & DMCA

Soro respects the intellectual property rights of others and requires users to do the same. If you believe that material accessible through Afrobits infringes your copyright, please send a notice of claimed infringement to hello@afrobits.ai with the subject line "DMCA Notice" including:

1. A physical or electronic signature of the copyright owner or authorized representative;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing, including the URL or sufficient detail to locate it;
4. Your contact information (address, telephone number, email);
5. A statement that you have a good-faith belief that the use is not authorized;
6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We will respond to valid DMCA notices within a reasonable timeframe, typically by removing the allegedly infringing content and notifying the user who generated it. Repeat infringers will have their accounts terminated.

10. Prohibited uses

You agree not to use Afrobits to:

• Generate content that infringes copyright, trademark, publicity rights, or other intellectual property rights of any third party;
• Create content that is defamatory, harassing, hateful, threatening, or promotes violence against any person or group;
• Generate sexually explicit content involving minors, or content that sexualizes real minors in any way;
• Impersonate any person, including public figures, deceased persons, or other users, in a manner intended to deceive;
• Create audio deepfakes of identifiable real people's voices without their documented consent;
• Circumvent, disable, or interfere with security or rate-limiting features of the service;
• Use automated systems (bots, scrapers, scripts) to access the service except through interfaces we explicitly authorize;
• Resell, sublicense, or redistribute access to the service without our written consent;
• Use the service for any illegal purpose or in violation of any applicable law.

Violation of these rules may result in immediate account termination, credit forfeiture, removal of content from distribution, and where applicable, referral to law enforcement.

11. Termination

We may suspend or terminate your access to Afrobits at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms or if required by law.

You may stop using the service at any time. Upon termination:

• Your right to use the service ends immediately;
• Unused credits may be forfeited if termination is for cause;
• Songs already distributed to streaming platforms may remain available under the distribution partner's policies unless you request takedown;
• Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, liability limits, indemnification, and governing law) will survive.

12. Disclaimers & warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SORO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
• WARRANTIES OF NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF AI-GENERATED CONTENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SORO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SORO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Soro, its affiliates, and its employees from any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, publicity, or privacy rights; or (d) content you generate or distribute through the service.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the service will be resolved exclusively in the state or federal courts located in Delaware, unless otherwise required by mandatory law in your jurisdiction.

For users in the European Economic Area, United Kingdom, India, Nigeria, and other jurisdictions with mandatory consumer protection laws, nothing in these Terms affects your rights under those laws.

16. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you through the service or by other reasonable means.

Your continued use of the service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service.
